These Terms of Service govern your access to and use of OBNYX, including our website, web application, AI workspace, chat features, file tools, web-aware checks, PowerOps workflows, subscription plans, token-based work capacity, and related services.

By creating an account, subscribing to a plan, purchasing tokens, using OBNYX, uploading content, or accessing any part of the service, you agree to these Terms.

2. Who We Are

OBNYX is an AI workspace built to help users write, research, analyse files, check information, compare decisions, understand conversations, review videos, spot money leaks, and run guided PowerOps workflows.

For legal and administrative purposes, “OBNYX,” “we,” “us,” and “our” refer to the operator of the OBNYX website and application.

3. Eligibility

You may use OBNYX only if you are legally able to enter into a binding agreement.

You must not use OBNYX if:

• you are prohibited from using the service under applicable law;
• your account has been suspended or terminated;
• you are using the service for illegal, harmful, abusive, or deceptive activity;
• you are creating accounts to bypass subscription limits, token limits, access restrictions, or enforcement actions.

If you are using OBNYX on behalf of a company or organisation, you confirm that you have authority to accept these Terms on its behalf.

4. What OBNYX Provides

OBNYX provides AI-powered tools and workflows, including but not limited to:

• AI chat and writing support;
• file analysis and summarisation;
• web-aware checks where available;
• model access depending on your plan;
• user personalization settings;
• token-based monthly work capacity;
• top-up token purchases;
• guided PowerOps workflows;
• audio, video, conversation, finance, buying, and decision-support tools.

OBNYX is designed to support clearer thinking and faster execution. It does not replace your own judgment.

5. AI Output Is Not Guaranteed

OBNYX uses artificial intelligence and third-party AI models. AI systems can produce output that is incomplete, outdated, inaccurate, misleading, or inappropriate for your situation.

You are responsible for reviewing and verifying output before using it.

OBNYX does not guarantee that:

• any output will be accurate;
• any output will be complete;
• any output will be suitable for your specific purpose;
• any output will be free from errors;
• any result, decision, prediction, recommendation, or business outcome will occur.

You should not rely on OBNYX as your only source of truth for important decisions.

6. No Professional Advice

OBNYX may help summarize, organize, compare, review, or explain information. However, OBNYX does not provide professional advice.

OBNYX is not a substitute for:

• legal advice;
• medical advice;
• financial advice;
• investment advice;
• accounting or tax advice;
• HR or employment advice;
• compliance advice;
• insurance advice;
• psychological, counselling, or therapy services;
• professional investigation, audit, or fraud detection.

For important matters, consult a qualified professional.

PowerOps are decision-support workflows. They help organize information, highlight patterns, and structure thinking. They do not guarantee outcomes or replace professional judgment.

7. PowerOps Limitations

PowerOps are guided AI workflows built for real situations, but they have limits.

LedgerSense and LedgerIntel can highlight financial patterns, recurring payments, unusual-looking charges, and cash-flow pressure. They are not banks, auditors, accountants, tax advisors, fraud investigators, or regulated financial services.

MindMeld and ChatGenius can analyze conversation signals, tension, evidence anchors, and reply risks. They do not read minds, prove intent, detect lies, provide therapy, or give legal advice.

WorthLens can highlight trust gaps, public signals, red flags, and comparison context. It cannot guarantee seller honesty, product quality, travel experience, safety, or business performance.

MatchFun provides sports context, uncertainty notes, and analysis. It is not betting advice and does not guarantee match outcomes.

VideoSense helps process video into transcripts, chapters, hooks, captions, and content ideas. You must review outputs before publishing or using them commercially.

Speak2Summary helps convert audio into summaries, decisions, notes, and follow-ups. You are responsible for confirming important details.

8. Your Account

You are responsible for keeping your account secure.

You agree to:

• provide accurate account information;
• keep your login details confidential;
• not share your account with unauthorised users;
• notify us if you suspect unauthorised access;
• be responsible for activity that occurs under your account.

We may suspend or restrict your account if we believe your account has been compromised, misused, or used in violation of these Terms.

9. Subscriptions, Plans, and Access

OBNYX offers subscription plans with different levels of access, model availability, token capacity, file capacity, and PowerOps access.

Plan features may include:

• monthly token capacity;
• estimated answer ranges;
• model access;
• file upload limits;
• web-aware checks;
• PowerOps access;
• indexed knowledge capacity;
• other workflow features.

Your access depends on your active plan.

We may update plan names, pricing, features, limits, model availability, PowerOps availability, or token rules from time to time. If changes materially affect your paid subscription, we will try to provide reasonable notice where practical.

10. Tokens and Work Capacity

Tokens represent your monthly OBNYX work capacity.

Tokens may be used when OBNYX:

• thinks;
• writes;
• researches;
• reads files;
• analyses content;
• checks the web;
• processes audio or video;
• runs PowerOps;
• generates output.

Token use varies depending on the model, task, file size, audio/video length, web checks, output length, and workflow complexity.

Estimated usage ranges are only estimates. Actual usage may differ.

Monthly plan tokens reset based on your billing cycle. Unused monthly plan tokens do not roll over unless expressly stated.

11. Top-Up Tokens

OBNYX may offer one-time token top-ups for heavier months or temporary workload spikes.

Top-up tokens are separate from monthly plan tokens. They are generally used after your monthly plan tokens are exhausted.

Unless stated otherwise:

• top-up tokens do not reset monthly;
• top-up tokens remain available while your subscription remains active;
• top-up tokens may become unavailable if your subscription is cancelled, terminated, deleted, or inactive;
• top-up tokens are not cash, stored value, or transferable credit;
• top-up tokens are not redeemable for money.

Top-up terms may vary depending on the product shown at checkout.

12. Payments and Billing

Payments are processed through third-party payment providers such as Stripe.

By subscribing or purchasing top-ups, you authorise the payment provider to charge your selected payment method for the applicable fees, taxes, renewals, and purchases.

Subscription fees are billed according to the billing cycle shown at checkout.

You are responsible for keeping payment details current.

If payment fails, OBNYX may suspend, restrict, or terminate access until payment is resolved.

13. Cancellations

You may cancel your subscription through your OBNYX account billing area or the available subscription management portal.

Unless stated otherwise at checkout or required by law:

• cancellation stops future renewals;
• access may continue until the end of the current billing period;
• already-paid fees are not automatically refunded;
• downgrades or cancellations may reduce feature access, PowerOps access, model access, and token capacity.

If you cancel, certain account data may remain stored for legal, security, billing, fraud prevention, backup, or operational reasons.

14. Refunds

Unless required by law or expressly stated at checkout, payments are non-refundable.

This includes:

• monthly subscriptions;
• 6-month plans;
• token top-ups;
• unused monthly tokens;
• unused top-up tokens;
• partial billing periods;
• dissatisfaction after usage;
• failure to use the service.

We may consider refund requests at our discretion, especially in cases of duplicate billing, technical billing errors, or other exceptional circumstances.

15. User Content

“User Content” means anything you submit, upload, paste, record, process, or generate through OBNYX, including:

• prompts;
• messages;
• documents;
• files;
• images;
• audio;
• video;
• links;
• transcripts;
• financial statements;
• conversation threads;
• personal settings;
• generated outputs.

You retain ownership of your User Content, subject to the rights you grant us to operate the service.

By using OBNYX, you give us permission to process your User Content to:

• provide the service;
• generate outputs;
• run workflows;
• maintain account history;
• improve safety and reliability;
• debug and troubleshoot issues;
• prevent abuse;
• comply with legal obligations.

16. Sensitive Content

You should be careful when uploading sensitive information.

Sensitive information may include:

• medical records;
• financial records;
• legal documents;
• identity documents;
• passwords or login details;
• private conversations;
• confidential business information;
• employment records;
• children’s information;
• highly personal or regulated data.

Only upload sensitive information if you are comfortable having it processed by OBNYX and relevant service providers.

Do not upload passwords, secret keys, API keys, or login credentials into OBNYX chat, files, or PowerOps unless a workflow specifically and securely supports it.

17. Acceptable Use

You agree not to use OBNYX to:

• break the law;
• violate another person’s rights;
• create malware, phishing, scams, or deceptive schemes;
• harass, threaten, exploit, or abuse others;
• generate harmful instructions;
• impersonate another person or organisation;
• upload content you do not have the right to use;
• infringe intellectual property rights;
• bypass security or access controls;
• overload, scrape, reverse engineer, or attack the service;
• create fake accounts to bypass limits;
• use OBNYX for regulated professional services without appropriate human review;
• use OBNYX to make automated high-impact decisions about people without proper legal basis and human oversight.

We may suspend or terminate accounts that violate these rules.

18. Intellectual Property

OBNYX, including its brand, design, workflows, interface, code, prompts, product names, PowerOps names, logos, copy, and related materials, is owned by or licensed to OBNYX.

You may not copy, resell, reproduce, scrape, reverse engineer, or create competing products from OBNYX without permission.

You may use outputs generated by OBNYX for lawful personal or business purposes, subject to these Terms and third-party rights. You are responsible for checking whether any output infringes rights, contains errors, or requires permission before publishing or commercial use.

19. Third-Party Services

OBNYX may rely on third-party services, including:

• AI model providers;
• payment processors;
• hosting providers;
• database providers;
• file storage providers;
• analytics providers;
• email providers;
• security and infrastructure providers.

Third-party services may have their own terms, privacy policies, limits, downtime, data handling rules, and restrictions.

OBNYX is not responsible for third-party service failures beyond our reasonable control.

20. Service Availability

We aim to keep OBNYX available and reliable, but we do not guarantee uninterrupted access.

The service may be unavailable due to:

• maintenance;
• upgrades;
• security incidents;
• third-party provider issues;
• model provider outages;
• payment provider issues;
• hosting issues;
• network failures;
• force majeure events;
• misuse or abuse prevention.

We may modify, suspend, discontinue, rename, limit, or withdraw any feature, model, PowerOp, plan, or workflow at any time.

21. Beta, Experimental, and Pipeline Features

Some OBNYX features may be experimental, beta, preview, or pipeline concepts.

These features may:

• change without notice;
• produce less reliable output;
• be withdrawn;
• be renamed;
• be limited to certain plans;
• have different token usage rules;
• be unavailable during testing.

Pipeline workflow names, access, scope, pricing, and release order may change.

22. Termination

We may suspend, restrict, or terminate your account if:

• you violate these Terms;
• payment fails;
• your use creates risk to OBNYX or others;
• your account appears compromised;
• we are required to do so by law;
• you misuse the service;
• you attempt to bypass plan limits or access controls.

You may stop using OBNYX at any time.

Termination may result in loss of access to your account, plan, tokens, top-ups, workflows, files, history, settings, and outputs.

23. Disclaimer of Warranties

OBNYX is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of:

• accuracy;
• reliability;
• merchantability;
• fitness for a particular purpose;
• non-infringement;
• uninterrupted availability;
• error-free operation;
• suitability for professional advice;
• suitability for regulated decisions.

You use OBNYX at your own risk.

24. Limitation of Liability

To the maximum extent permitted by law, OBNYX will not be liable for:

• indirect losses;
• incidental losses;
• special losses;
• consequential losses;
• loss of profit;
• loss of revenue;
• loss of business;
• loss of data;
• loss of goodwill;
• decisions made based on AI output;
• professional, financial, legal, medical, HR, business, travel, or personal consequences arising from your use of OBNYX.

Where liability cannot be excluded, our total liability will be limited to the amount you paid to OBNYX in the three months before the claim, or the minimum amount permitted by law, whichever is lower.

25. Indemnity

You agree to indemnify and hold OBNYX harmless from claims, losses, damages, liabilities, costs, and expenses arising from:

• your use of OBNYX;
• your User Content;
• your violation of these Terms;
• your violation of law;
• your infringement of third-party rights;
• your misuse of AI output;
• your use of OBNYX for regulated or high-risk decisions without proper professional review.

26. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we may notify you through the website, app, email, or account notice.

Your continued use of OBNYX after changes become effective means you accept the updated Terms.

If you do not agree, stop using OBNYX and cancel your subscription.

27. Governing Law

These Terms are governed by the laws of Singapore, unless your operating entity or applicable law requires otherwise.

Any disputes will be handled by the courts of Singapore, unless otherwise required by applicable law.
